# KitchenFlow License

Copyright (c) 2026 KitchenFlow. All rights reserved.

This is a **single-purchase commercial license**, not open source. By purchasing
or using KitchenFlow you accept the terms below. If you do not accept them, do
not use the software.

## 1. Definitions

- **"Software"** — the KitchenFlow source code, in any form, including the
  application, migrations, Edge Functions, documentation and assets in this
  repository.
- **"Licensor"** — the entity that sells the Software.
- **"Licensee"** — you, the person or company that purchased a tier.
- **"Project"** — one distinct deployed instance of the Software, identified by
  one Supabase project and/or one production domain.
- **"Restaurant"** — one tenant inside a Project. A tenant is a row in
  `restaurants` and its related `staff`, `menu_items`, `orders` and other rows.
- **"End User"** — a person who uses the Software to run a restaurant business
  and is not the Licensee. End Users never receive rights under this License.

## 2. Grant of license

Subject to payment and to the limits of the tier you bought, the Licensor grants
you a **non-exclusive, non-transferable, non-sublicensable, perpetual** right
to:

1. Install and run the Software.
2. Modify the Software for your own internal business use.
3. Use the Software to operate the number of Projects and Restaurants set out in
   section 3.

This license does not grant any right to the Licensor's name, trademarks, logo,
domain names, or marketing materials. The Licensee may not present the Software
under the Licensor's brand without written permission.

## 3. Tiers

All tiers are **one-time payments**. No tier includes future updates, upgrades,
new versions, migrations written after your purchase date, or any form of
support, warranty, or service level. The Licensor is not obliged to maintain,
patch, or continue the Software.

## 4. Restrictions — what you may NOT do

You may not, in any tier, including Agency:

1. **Resell, sublicense, or redistribute the Software**, in whole or in part,
   modified or unmodified.
2. **Publish the Software as a template, starter, boilerplate, SaaS, or
   open-source project**, on any marketplace (including but not limited to
   Gumroad, ThemeForest, GitHub, CodeCanyon), on your own website, or as a
   service to third parties.
3. **Make the Software available to any third party** who is not an End User of
   your own licensed Project, whether free or paid.
4. **Include the Software in any course, tutorial, SaaS product, agency
   offering, or "client work" product** that grants the recipient access to the
   underlying source code.
5. **Remove or obscure copyright, license, or attribution notices** from the
   Software or its source files.
6. **Use the Licensor's trademarks or brand** to imply endorsement,
   affiliation, or that the Software was authored by you.
7. **Use the Software to build a competing product** that offers the same
   functionality to restaurant businesses.

### Agency tier — the narrow exception

The Agency tier permits you to build and deploy Projects **for your own clients
as a paid service**, provided that:

- each client receives **only a deployed instance** of the Software, and
- the client receives **no copy of the source code**, and
- the client receives **no right to sublicense, redistribute, or make the
  Software available to anyone else**, and
- you remain responsible for the number of Projects you operate.

Failing any of these conditions, the use is prohibited and the Agency tier does
not apply.

## 5. Third-party components

The Software depends on third-party open-source packages, including Next.js,
React, Supabase, PostgreSQL, Stripe, and others. Those components remain under
**their own licenses**, which are not modified by this License. You are
responsible for complying with those licenses.

## 6. No warranty

THE SOFTWARE IS PROVIDED **"AS IS"**, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. The Licensor does not
warrant that the Software will be error-free, uninterrupted, or fit for any
particular purpose, nor that it will remain available, maintained, or updated.

## 7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE
FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL
DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING
OUT OF OR IN CONNECTION WITH THE SOFTWARE OR ITS USE. THE LICENSOR'S TOTAL
LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

## 8. Termination

This license terminates automatically if you breach any term of section 4. On
termination you must cease using the Software and delete all copies, including
source code and deployed instances. Your right to operate any Production
instance already handed to a client under a valid Agency engagement survives
termination for that specific instance only.

## 9. Data

KitchenFlow stores data in **your** Supabase project. The Licensor has no
access to it and no obligation to preserve, back up, or migrate it. You are
solely responsible for backups and for compliance with data-protection law
applicable to your End Users' data.

## 10. Updates after purchase

Because no tier includes updates, migrations written after your purchase date
may not apply cleanly to your instance. The Licensor is not responsible for
migration conflicts, data loss, or downtime arising from later versions. Keep
your own backups before applying any later migration.

## Summary in one line

You buy the right to run this code for your own restaurants, or to run it for
paid clients if you bought Agency. You never get the right to give the code
away, resell it, or publish it as a template.
